Please read these Terms of Service carefully before using ZenOryva.com or purchasing any ZenOryva services. These Terms constitute a legally binding agreement between you and ZenOryva ("ZenOryva," "we," "us," or "our").
1. Acceptance of Terms
By accessing or using ZenOryva.com, creating an account, completing a health intake, or purchasing any subscription or service, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use our platform or services.
We may update these Terms from time to time. Continued use of our services after any changes constitutes your acceptance of the revised Terms. See Section 11 for our amendment process.
2. Eligibility
To use ZenOryva's services, you must meet all of the following requirements:
- You are at least 18 years of age
- You are a legal resident of the United States
- You are located in a state where our affiliated healthcare providers are licensed to practice medicine
- You have completed a medical intake evaluation and been deemed clinically eligible by a licensed provider before receiving any prescription
- You have the legal capacity to enter into a binding agreement
ZenOryva's telehealth services are currently available only in states where our affiliated providers hold active medical licenses. We do not accept patients or process prescriptions in states where we lack licensed provider coverage. You are responsible for verifying availability in your state prior to purchase. If your state becomes unavailable after your subscription begins, we will provide a prorated refund for any unused period.
3. Description of Services
ZenOryva is a direct-to-consumer wellness platform that connects individuals with independent, licensed healthcare providers for asynchronous and synchronous telehealth consultations focused on weight management. Our platform also provides access to health coaching, educational content, and subscription-based support programs.
ZenOryva is not a pharmacy, hospital, medical group, or medical practice. We do not employ physicians. All healthcare providers accessible through our platform are independent licensed professionals -- including physicians, nurse practitioners, and physician assistants -- who practice at their own clinical discretion and in accordance with applicable state law.
Where a provider determines that a prescription is clinically appropriate, that prescription is transmitted to a licensed compounding pharmacy for fulfillment. The clinical decision to prescribe, modify, or decline to prescribe rests entirely with the independent provider and is not influenced by ZenOryva.
Coaching services provided through ZenOryva are for motivational and lifestyle support purposes only. Coaches are not licensed healthcare providers and do not offer medical advice, diagnosis, or treatment.
4. Telehealth Consent
By creating an account and submitting a health intake on our platform, you expressly consent to receiving healthcare services via telehealth. You acknowledge and understand the following:
- Telehealth consultations occur asynchronously (via written intake and provider review) and may not involve real-time video or audio communication
- Telehealth has inherent limitations compared to in-person care, including the inability to perform a physical examination
- Telehealth is not appropriate for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately
- The provider who reviews your intake may determine that you are not a candidate for the requested treatment, and no prescription will be issued in that case
- You are responsible for providing accurate and complete health information. Providing false or incomplete information may result in clinical harm and may void your eligibility for services
- You may withdraw your consent to telehealth services at any time by contacting us at support@ZenOryva.com. Withdrawal of consent will not affect care already received
- ZenOryva's telehealth services do not create a long-term patient-provider relationship. You should maintain a primary care provider for ongoing and comprehensive healthcare needs
5. Subscription Terms
Plans and Billing Cycles
ZenOryva offers the following subscription tiers:
- Essential Plan -- billed month-to-month with no minimum commitment
- Accelerator Plan -- requires a minimum 3-month commitment, billed monthly
- Elite Plan -- requires a minimum 3-month commitment, billed monthly
Auto-Renewal
All subscriptions renew automatically at the end of each billing cycle using the payment method on file. You authorize ZenOryva to charge your payment method for each renewal period until you cancel. You will receive a reminder email prior to renewal.
Cancellation
You may cancel your subscription at any time by logging into your account settings or by contacting support@ZenOryva.com. To avoid being charged for the next billing cycle, you must cancel at least 5 days before your renewal date. Cancellations received after this window will take effect at the end of the current billing period.
For plans with a minimum commitment period (Accelerator and Elite), you may not cancel before the minimum term expires except as provided under state law or in cases of medical ineligibility.
Refunds
Subscription fees are non-refundable for partially used billing months. Medication orders that have already been shipped cannot be returned or refunded due to the nature of compounded pharmaceuticals. If you are denied a prescription by a provider after purchase, you will receive a refund for the medication component of your subscription. Exceptions may apply for billing errors or extenuating circumstances at ZenOryva's discretion.
Price Changes
We reserve the right to change subscription pricing. We will provide at least 30 days advance notice of any price change via email before it takes effect. Continued use of your subscription after the price change takes effect constitutes acceptance of the new price.
6. Compounded Medication Disclaimer
Where clinically appropriate, your provider may prescribe a compounded medication (such as compounded semaglutide) to be dispensed by a licensed 503A compounding pharmacy. You acknowledge and agree to the following:
- Compounded medications are not FDA-approved. They are not evaluated by the FDA for safety, efficacy, or quality in the same manner as commercially manufactured drugs
- The compounding pharmacy, not ZenOryva, is solely responsible for the preparation, quality, and dispensing of all compounded medications
- ZenOryva does not manufacture, compound, store, ship, or dispense any medications. ZenOryva functions solely as a technology platform connecting patients and providers
- You should discuss all risks, benefits, and alternatives associated with compounded medications with your prescribing provider before beginning treatment
- You are responsible for reading all included medication guides, instructions for use, and safety information provided by the compounding pharmacy
- If you experience an adverse reaction, side effect, or suspect a medication error, you should contact your provider immediately and, if serious, seek emergency care
7. No Guarantee of Results
Weight loss results vary significantly from person to person based on individual health factors, adherence to treatment, lifestyle, genetics, and other variables. ZenOryva does not guarantee any specific weight loss outcome, and nothing in our marketing materials, coaching communications, or website content constitutes a promise of results.
Testimonials, before-and-after images, and case studies featured on our platform reflect the experiences of individual users and are not necessarily typical. Individual results may be materially different. These examples are provided for informational purposes only and should not be relied upon as a prediction of your own results.
Medical weight loss is a process that requires consistent engagement, lifestyle modification, and ongoing provider oversight. ZenOryva's coaching and platform tools are designed to support -- not replace -- that process.
8. Limitation of Liability
To the fullest extent permitted by applicable law, ZenOryva, its officers, directors, employees, agents, and technology partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, even if advised of the possibility of such damages.
Without limiting the foregoing, ZenOryva specifically disclaims liability for:
- Adverse reactions, side effects, or harm resulting from medications prescribed through our platform. You should report any adverse reaction to your provider immediately and call 911 if the reaction is severe
- Clinical decisions made by independent healthcare providers, including decisions to prescribe or not to prescribe
- Errors, omissions, delays, or failures by compounding pharmacy partners in the preparation or delivery of medications
- Service interruptions, data loss, or technical failures outside of ZenOryva's reasonable control
- Reliance on any information provided on our website, in marketing materials, or by coaching staff that does not constitute licensed medical advice
In no event shall ZenOryva's total aggregate liability to you exceed the total amount paid by you to ZenOryva in the 12 months immediately preceding the claim.
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, the above limitations will apply to the fullest extent permitted by law.
9. Intellectual Property
All content on ZenOryva.com -- including but not limited to text, images, graphics, logos, icons, video, audio clips, data compilations, software, and the overall look and feel of the site -- is the exclusive property of ZenOryva or its licensors and is protected by United States and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use ZenOryva.com for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our platform without our prior written consent.
The ZenOryva name, logo, and product names are trademarks of ZenOryva. You may not use these marks without prior written permission.
10. Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of ZenOryva's services -- including questions about the validity or enforceability of this arbitration provision -- shall be resolved by binding individual arbitrationadministered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Los Angeles County, California, or via remote hearing where available.
The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
You and ZenOryva each waive any right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought in your individual capacity only.
Informal Resolution
Before initiating arbitration, you agree to first contact us at legal@ZenOryva.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days. If we cannot reach a resolution, either party may then proceed to arbitration.
11. Severability, Entire Agreement, and Amendments
Severability
If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision will be severed from these Terms. All remaining provisions will continue in full force and effect.
Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ZenOryva regarding your use of our services and supersede all prior agreements, representations, and understandings, whether written or oral.
Amendments
We reserve the right to amend these Terms at any time. For material changes -- including changes to arbitration, subscription terms, or limitations of liability -- we will provide at least 30 days advance notice via email before the revised Terms take effect. Non-material changes (such as formatting or clarifications that do not affect your rights) may take effect immediately upon posting. The most current version of these Terms will always be available at ZenOryva.com/terms.
Your continued use of ZenOryva's services after the effective date of any revised Terms constitutes your acceptance of those changes.
